1. Introduction

Welcome to Haulo ("Platform", "we", "us", or "our"). Haulo is a live shopping marketplace operated by Haulo Pty Ltd, a registered Australian company.

These Terms and Conditions ("Terms") govern your access to and use of the Haulo platform, including our website, mobile application, and all related services. By creating an account or using our Platform, you agree to be bound by these Terms.

If you do not agree to these Terms, you must not use the Platform.

2. Definitions

  • "Buyer" means any user who purchases products through the Platform.
  • "Seller" means any user approved to host livestreams and promote products on the Platform. Sellers act as affiliates who earn commission on sales they drive.
  • "Supplier" means any user approved to list products for sale on the Platform. Suppliers are responsible for product quality, inventory, and order fulfillment.
  • "Livestream" means a live video broadcast hosted by a Seller through the Platform.
  • "Commission" means the percentage of a sale price deducted as fees, including the Platform fee and Seller affiliate commission.
  • "GMV" means Gross Merchandise Value, the total value of goods sold through the Platform before any deductions.
  • "Content" means any text, images, video, audio, or other material uploaded to or transmitted through the Platform.
  • "Content Report" means a report submitted by a user through the Platform's reporting mechanism regarding content or conduct that may violate these Terms, applicable law, or community standards. Report categories include illegal content, misleading claims, harassment, unsafe products, inappropriate content, and other.
  • "Banned Product Category" means any product category that is prohibited from being listed on the Platform due to legal, safety, or regulatory requirements, including but not limited to products subject to Australian product safety bans, recalled products, and products that do not comply with Australian Consumer Product Safety Standards.

3. Eligibility and Account Registration

3.1 Eligibility

You must be at least 18 years old and legally capable of entering into binding contracts to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

3.2 Account Registration

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your login credentials secure and confidential
  • Accept responsibility for all activity under your account
  • Notify us immediately of any unauthorised use of your account

3.3 Account Types

The Platform offers the following account types:

  • Buyer Account: Any registered user can browse, watch livestreams, and purchase products.
  • Seller Account: Requires approval. Sellers host livestreams and promote Supplier products as affiliates.
  • Supplier Account: Requires approval. Suppliers list products and fulfill orders. A user may hold both a Seller and Supplier account.

Sellers cannot sell products directly on the Platform. To sell products, a Seller must create a separate Supplier account, list their products as a Supplier, and comply with all Supplier obligations.

4. Commission and Fees

4.1 Commission Structure

All sales on the Platform are subject to the following commission structure:

  • Total Commission: 12% of the sale price (standard rate)
  • Platform Fee: 6% of the sale price, retained by Haulo
  • Seller Commission: 6% of the sale price, paid to the Seller who promoted and sold the product
  • Payment Processing: Stripe fees (currently 1.75% + AUD $0.30 per transaction) are deducted from sale proceeds

After all fees and commissions, Suppliers receive approximately 86% of the sale price.

4.2 Custom Commission Rates

Suppliers may negotiate custom total commission rates between 8% and 20%. The Platform fee of 6% is fixed; any adjustment affects the Seller's share only. Custom rates may be set per product or per affiliate relationship.

4.3 No Other Fees

Haulo does not charge listing fees, subscription fees, or upfront costs. Commission is only charged when a sale is completed.

5. Payments and Payouts

5.1 Buyer Payments

All payments are processed securely through Stripe. We accept major credit and debit cards. Prices are displayed in Australian Dollars (AUD) unless otherwise stated. By making a purchase, you authorise Haulo to charge the specified amount to your selected payment method.

5.2 Seller Payouts

Sellers receive commission payouts according to the following schedule:

  • Weekly (every Monday, minimum AUD $50)
  • Bi-weekly (1st and 15th, minimum AUD $25)
  • Monthly (1st of month, minimum AUD $10)

Payouts are held until the order is delivered and the return window (7 days after delivery) has passed, and no active disputes exist.

5.3 Supplier Payouts

Suppliers receive the sale amount minus commission and payment processing fees. Payout schedules and hold periods are the same as for Sellers. Bank transfer payouts are free; instant transfers incur a 1% fee.

5.4 Tax Obligations and SERR Compliance

Sellers and Suppliers are responsible for reporting their income and complying with all applicable tax laws, including GST obligations for Australian sales. Haulo may provide tax summaries but does not provide tax advice. You should consult a qualified tax professional regarding your obligations.

Under the Australian Taxation Office (ATO) Sharing Economy Reporting Regime (SERR), Haulo is required to report Seller and Supplier transaction data to the ATO through bi-annual Taxable Payments Reporting System (TPRS) reports. To comply with this obligation, all Sellers and Suppliers must provide the following information:

  • Legal name (as it appears on official identification documents)
  • Date of birth
  • Residential address
  • Australian Business Number (ABN)
  • Bank account details for payouts

Failure to provide this information will result in your account being blocked from listing products, hosting livestreams, and receiving payouts. This information is collected solely for ATO regulatory compliance and is handled in accordance with our Privacy Policy.

6. Seller Obligations

As a Seller on the Platform, you agree to:

  • Only promote products that are listed on the Platform by approved Suppliers
  • Provide honest and accurate product descriptions and demonstrations during livestreams
  • Not make false, misleading, or deceptive claims about any product
  • Comply with all applicable Australian Consumer Law and advertising standards
  • Not engage in any conduct that circumvents the Platform's commission structure (see Section 8)
  • Maintain professional conduct during livestreams
  • Not share external purchase links or direct buyers to off-platform transactions

7. Supplier Obligations

As a Supplier on the Platform, you agree to:

  • Provide accurate and complete product information, including descriptions, pricing, and images
  • Maintain adequate inventory for listed products
  • Fulfill all orders within 48 hours of purchase
  • Provide valid tracking information for all shipments
  • Comply with all applicable product safety and labelling requirements under Australian law, including Australian Consumer Product Safety Standards
  • Declare product safety compliance when listing products on the Platform. By listing a product, you represent and warrant that the product complies with all applicable safety standards and is not subject to any product safety ban or recall in Australia
  • Not list products in any Banned Product Category as defined in Section 2. The Platform enforces banned category restrictions at listing time, and any attempt to circumvent these restrictions constitutes a material breach of these Terms
  • Cooperate with the Australian Competition and Consumer Commission (ACCC) and Haulo on product recalls, safety notices, and consumer protection matters. If a product you have supplied is subject to a recall or safety notice, you must immediately notify Haulo and comply with all recall obligations
  • Accept returns and process refunds in accordance with the Platform's return policy and Australian Consumer Law
  • Not include promotional material, business cards, or marketing directing buyers to off-platform channels in shipments
  • Not include contact information (websites, email, phone numbers, social media handles) in product listings, images, or descriptions for the purpose of directing buyers off-platform
  • Not engage in any conduct that circumvents the Platform's commission structure (see Section 8)

8. Prohibited Conduct

8.1 General Prohibited Conduct

All users agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable laws
  • Post or transmit content that is defamatory, obscene, abusive, threatening, or otherwise objectionable
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity
  • Interfere with or disrupt the Platform or its infrastructure
  • Attempt to gain unauthorised access to any part of the Platform
  • Use automated systems (bots, scrapers) to access the Platform without our written consent
  • Manipulate reviews, ratings, or engagement metrics
  • Engage in fraudulent transactions or payment manipulation

8.2 Commission Avoidance (Strictly Prohibited)

The following conduct is strictly prohibited and constitutes a material breach of these Terms:

  • Off-platform transactions: Directing, encouraging, or facilitating buyers to complete purchases outside the Platform to avoid commission payments
  • Contact information sharing: Sharing personal contact details, website URLs, social media handles, or any other information intended to redirect buyers to off-platform purchase channels, whether in product listings, livestream chat, video content, product packaging, or shipment inserts
  • Seller-Supplier collusion: Sellers and Suppliers agreeing to conduct transactions off-platform after connecting through Haulo
  • Commission manipulation: Artificially structuring transactions to reduce or avoid commission obligations, including splitting orders, misreporting sale prices, or processing partial refunds with off-platform repurchase
  • Platform circumvention: Using the Platform to identify buyers or build customer lists for the purpose of conducting future transactions off-platform

8.3 Consequences of Commission Avoidance

If Haulo determines, in its reasonable discretion, that a Seller or Supplier has engaged in commission avoidance, we may take one or more of the following actions:

  • Issue a formal warning
  • Withhold pending payouts pending investigation
  • Charge the full commission that would have been payable on any off-platform transactions, plus a penalty fee equal to 100% of the avoided commission
  • Suspend or permanently terminate the offending account
  • Pursue legal remedies for breach of contract and recovery of lost revenue

We reserve the right to monitor Platform activity, including chat messages, product listings, and transaction patterns, to detect potential commission avoidance.

9. Orders, Shipping, and Delivery

9.1 Order Formation

A binding contract of sale is formed between the Buyer and the Supplier when the Buyer completes payment through the Platform. Haulo acts as an intermediary facilitating the transaction and is not a party to the contract of sale.

9.2 Shipping

Suppliers are responsible for shipping all orders within 48 hours of purchase. Suppliers must provide valid tracking information. Shipping costs, if applicable, are displayed to the Buyer before purchase.

9.3 Delivery

Estimated delivery times are provided as guidelines only. Haulo is not responsible for shipping delays caused by carriers, customs, or events beyond our control.

10. Returns and Refunds

10.1 Return Policy

Buyers may request a return within 7 days of delivery for the following reasons:

  • Product not as described
  • Product damaged or defective
  • Wrong item received
  • Change of mind (subject to Supplier approval)

10.2 Refund Processing

Upon approval of a return, the Buyer will receive a full refund to their original payment method. All commissions (Platform and Seller) are reversed when a refund is issued. Refunds are typically processed within 5-10 business days.

10.3 Australian Consumer Law

Nothing in these Terms limits or excludes any rights you may have under the Australian Consumer Law. If a product has a major failure, you are entitled to a refund or replacement regardless of this return policy.

11. Livestream Rules

During livestreams, all participants must:

  • Treat all participants with respect
  • Not post spam, harassment, hate speech, or discriminatory content
  • Not share external links or URLs in chat without Platform approval
  • Not promote products or services not listed on the Platform
  • Not engage in or encourage illegal activity
  • Not share personal information of other users

Haulo reserves the right to moderate, remove, or restrict content and users who violate these rules, including terminating livestreams in progress.

12. Content Moderation

12.1 Reporting Mechanism

Users may report content (including livestreams, products, chat messages, and other users) that they believe violates these Terms, applicable law, or community standards by submitting a Content Report through the Platform. Report categories include: illegal content, misleading claims, harassment, unsafe products, inappropriate content, and other.

12.2 Review and Action

Haulo will review Content Reports and may take any of the following actions at its reasonable discretion:

  • Dismiss the report if no violation is found
  • Issue a warning to the reported user
  • Remove or restrict the reported content
  • Immediately terminate a livestream in progress if it contains prohibited content
  • Suspend or permanently terminate the account of the offending user

12.3 Prohibited Content

In addition to the prohibited conduct described in Section 8, the following content is prohibited under the Online Safety Act 2021 (Cth) and may be subject to immediate removal:

  • Class 1 material (content that has been refused classification or is classified X 18+)
  • Cyber-bullying material targeting an Australian child
  • Non-consensual sharing of intimate images
  • Content that promotes, incites, or instructs in matters of serious violence
  • Any content that is the subject of a removal notice from the eSafety Commissioner

12.4 Audit Trail and Evidence Preservation

Haulo maintains a moderation audit trail of all Content Reports, review outcomes, and actions taken. Where a livestream is the subject of a Content Report, the recorded livestream may be preserved as evidence for a minimum of 3 years. We comply with the Online Safety Act 2021 (Cth) and will respond to removal notices and information requests from the eSafety Commissioner.

13. Intellectual Property

13.1 Platform IP

The Platform, including its design, features, code, and branding, is the property of Haulo Pty Ltd. You may not copy, modify, distribute, or create derivative works from any part of the Platform without our written consent.

13.2 User Content

You retain ownership of content you upload to the Platform. By uploading content, you grant Haulo a non-exclusive, worldwide, royalty-free licence to use, display, reproduce, and distribute your content in connection with operating and promoting the Platform. This licence ends when you delete your content or close your account, except where your content has been shared with others and they have not deleted it.

13.3 Copyright Infringement

If you believe content on the Platform infringes your intellectual property rights, please contact us at legal@haulo.shop with details of the alleged infringement.

14. Privacy

Your privacy is important to us. Our collection, use, and disclosure of personal information is governed by our Privacy Policy, which forms part of these Terms. By using the Platform, you consent to the practices described in our Privacy Policy.

15. Notifications and Communications

15.1 Transactional Communications

Haulo will send you transactional emails and push notifications relating to your use of the Platform, including order confirmations, shipping updates, payout notifications, and account security alerts. These communications are essential to the operation of the Platform and are sent without requiring separate opt-in consent, as permitted by the Spam Act 2003 (Cth) for messages directly related to a transaction or service you have requested.

15.2 Marketing Communications

With your consent, we may send marketing communications about new features, promotions, livestream recommendations, and other Platform updates. You may opt in or opt out of marketing communications at any time through the app under Profile > Notification Settings. We comply with the Spam Act 2003 (Cth) and the Do Not Call Register Act 2006 (Cth).

15.3 Communication Standards

All emails from Haulo include the following, as required by the Spam Act 2003:

  • Accurate sender identification (Haulo Pty Ltd)
  • Our Australian Business Number (ABN)
  • Our physical address
  • A functional unsubscribe mechanism for marketing emails

15.4 Your Opt-Out Rights

You have the right to opt out of marketing communications at any time. Opt-out requests will be processed within 5 business days, as required by the Spam Act. Opting out of marketing communications does not affect your receipt of transactional notifications.

16. Disclaimers and Limitation of Liability

16.1 Platform Role

Haulo is a marketplace platform that connects Buyers, Sellers, and Suppliers. We do not own, manufacture, store, or inspect products sold on the Platform. We are not a party to the contract of sale between Buyers and Suppliers.

16.2 No Warranty

To the maximum extent permitted by law, the Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

16.3 Limitation of Liability

To the maximum extent permitted by Australian law, Haulo's total liability to you for any claims arising from or relating to these Terms or your use of the Platform shall not exceed the total fees paid by you to Haulo in the 12 months preceding the claim. This limitation applies to all causes of action, whether in contract, tort, or otherwise.

16.4 Exclusion of Consequential Damages

To the maximum extent permitted by law, Haulo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Platform.

16.5 Australian Consumer Law and Regulatory Compliance

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law or any other applicable law that cannot be excluded, restricted, or modified by agreement.

Haulo operates in compliance with applicable Australian legislation, including but not limited to:

  • The Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth))
  • The Online Safety Act 2021 (Cth), including compliance with eSafety Commissioner removal notices and reporting obligations
  • The Spam Act 2003 (Cth) and the Do Not Call Register Act 2006 (Cth), governing electronic marketing communications
  • Australian Consumer Product Safety Standards and product recall obligations administered by the ACCC
  • The Sharing Economy Reporting Regime (SERR) administered by the ATO

17. Indemnification

You agree to indemnify, defend, and hold harmless Haulo and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Platform
  • Your breach of these Terms
  • Your violation of any applicable law or the rights of any third party
  • Products you sell or supply through the Platform
  • Content you upload or transmit through the Platform

18. Account Suspension and Termination

18.1 Termination by You

You may close your account at any time by contacting us. Closing your account does not release you from any obligations incurred before closure, including pending orders and outstanding payouts.

18.2 Termination by Haulo

We may suspend or terminate your account at any time, with or without notice, if we reasonably believe that:

  • You have violated these Terms
  • Your account poses a security risk to the Platform or other users
  • You have engaged in fraudulent or illegal activity
  • You have engaged in commission avoidance or Platform circumvention
  • Continued use of the Platform may result in liability for Haulo

18.3 Effect of Termination

Upon termination, your right to access the Platform ceases immediately. Any pending payouts may be withheld for up to 90 days to account for potential refunds, chargebacks, or disputes. Sections that by their nature should survive termination will survive, including Sections 8, 12, 13, 16, 17, and 19.

19. Dispute Resolution

19.1 Between Buyers and Suppliers

Disputes regarding orders, product quality, or delivery should first be resolved through the Platform's dispute resolution process. Haulo will facilitate resolution but is not obligated to adjudicate disputes between Buyers and Suppliers.

19.2 Between Users and Haulo

If you have a dispute with Haulo, you agree to first attempt to resolve it informally by contacting us at legal@haulo.shop. If the dispute cannot be resolved within 30 days, either party may pursue formal legal remedies.

20. Governing Law

These Terms are governed by the laws of the State of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales and any courts that may hear appeals from those courts.

21. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the Platform at least 14 days before the changes take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform and close your account.

22. General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Haulo regarding your use of the Platform.
  • Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.
  • Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. Haulo may assign its rights and obligations without restriction.
  • Force Majeure: Haulo is not liable for any failure or delay in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or infrastructure failures.
